ANNOUNCEMENT ON REQUEST FOR PROPOSAL WITH RESPECT TO TWENTY-SIX B737-700 AIRCRAFT SALE AND LEASE BACK

To whom it may concern:

China Southern Airlines Company Limited (“CSA”) intends to transfer the ownership of twenty-six self-owned B737-700 aircraft (the “Aircraft”) to one or more aircraft leasing companies (the “Lessor”), and leases them back under the operating lease arrangement (the “Transaction”). The details of the Aircraft are as follows:

中国南方航空股份有限公司(“南航”)拟将26架自有的B737-700飞机(“飞机”)的产权转让给一家或多家飞机租赁机构(“出租人”)，同时将飞机通过经营租赁方式租回运营(“交易”)。飞机具体信息如下：

If you are interested in this Transaction, please send the relevant materials and application documents in accordance with the following qualification requirements in email to the following contact persons (Shi Pengfei pfshi@csair.com; Feng Bozhan fengbz@csair.com) before 24:00 of October 15th 2021, CSA will review your qualification and send specific materials of the Transaction to the Qualified Lessors by email before 24:00 of October 18th 2021 Beijing time. After receiving the email, Qualified Lessors may submit a proposal (Rent) for a part of or all of the Aircraft in the Transaction in accordance with the aircraft portfolio and proposal requirements provided by the CSA. CSA will evaluate your proposal from the economic analysis perspective, and on whether your proposal has met the conditions and requirements in this Announcement and specific materials of the Transaction and other relevant aspects. CSA reserves the right to refuse your proposal under any circumstance.

Lessor’s Qualification Requirements 出租人资质要求：

1. The Lessor shall be a company incorporated in mainland of PRC. If the Lessor is a SPV incorporated in mainland of PRC, its controlling party shall be incorporated in a country which maintains normal diplomatic relations with PRC; if its controlling party is located in mainland of PRC, Hong Kong, Macao or Taiwan, this condition shall not apply;

   出租人必须是在中国大陆设立的公司。在出租人是在中国大陆设立的项目公司的情况下，其控制方所在国需与中国保持正常外交关系；如其控制方位于中国大陆，香港特别行政区、澳门特别行政区或台湾，则不适用此条件；

2. The Lessor (or its parent, if the Lessor is a SPV) shall have the relevant qualifications, management experience and professional technical capability on aircraft operating lease;

   出租人(或其母公司，在出租人是项目公司的情况下)应具有相应的飞机经营租赁资质、管理经验和专业技术能力；

3. As of the date of this announcement, the number of aircraft owned by and the number of aircraft orders confirmed by the Lessor or its parent shall be no less than 10;

   截至本公告发布之日，出租人或其母公司拥有的飞机和确认订单的飞机总计不少于10架；

4. Within one year before the date of this announcement, the Lessor shall maintain a net worth no less than USD 25,000,000, or a third party with the net worth of no less than USD 25,000,000 shall provide a joint and several liability guarantee for the Lessor during the lease term;

   在本公告发布之日前一年内，出租人净资产不低于2500万美元，或由净资产不低于2500万美元的第三方实体为其提供租期内的连带责任担保；

5. As of the date of this announcement, the Lessor, its parent, subsidiaries, other companies controlled by its parent and any third party providing guaranty for the Lessor (if any) shall have no legal disputes with CSA and its parent, subsidiaries and other companies controlled by its parent (the “CSA Group Member”); the Lessor, its parent, subsidiaries, other companies controlled by its parent and any third party providing guarantee for it (if any) shall have not employed any directors, supervisors and senior management of any entities which have had legal disputes with the CSA Group Member and will not employ the aforesaid persons during the entire lease term.

   截至本公告发布之日，出租人及其母公司、子公司、其母公司控制的其他公司和为其提供担保的第三方实体(若有)都与南航及南航的母公司、子公司及南航母公司控制的其他公司(“南航集团成员公司”)没有法律纠纷；出租人及其母公司、子公司、其母公司控制的其他公司和为其提供担保的第三方实体(若有)未聘用并在整个租期内不得聘用曾与南航集团成员公司发生过法律纠纷的实体的董事、监事、高级管理人员。

6. As of the date of this announcement, the Lessor, its parent, subsidiaries, other companies controlled by its parent or any third party providing guaranty for the Lessor (if any), or any individual having control over, or serving as the senior management of, the aforementioned entities shall abide by the Chinese Law and be subject to any sanction or similar measures issued by the government of the PRC or the United Nations.

   截至本公告发布之日，出租人及其母公司、子公司、其母公司控制的其他公司和为其提供担保的第三方实体(若有)，以及控制上述实体或担任其高级管理人员的任何个人须遵守中国法律并受限于中国政府或联合国公布的任何制裁或类似措施。

   Compliance of Transaction 交易合规:

   1.Please note that this Annoucement and your application documents are only the preliminary negotiation on intention between the parties and shall not constitute the final documents of the Transaction (or any part thereof) or be binding on CSA. Should CSA decide to proceed with the Transaction, based on the relevant regulatory requirements, the Transaction will be conducted through a public bidding process in an assets exchange in the People’s Republic of China ("PRC") selected by the CSA (the "Assets Exchange"). You shall pay attention to information of the Transaction in respect of part of or all of the Aircraft above publicly released by the Assets Exchange and participate in the bidding.

   特别提示贵司注意，本征询意向公告以及贵司的报名文件仅为双方的初步意向性协商，并不构成交易的最终文件(或其任何部分)，亦不对南航产生任何约束力。若南航决定进行交易，根据相关监管要求，交易最终将通过南航选择的位于中国境内的产权交易机构("产权交易机构")进行公开竞价。贵司需关注产权交易机构公开披露的上述部分或全部飞机的交易信息，并参与竞价。

   2.The specific working process involved in this Transaction such as Aircraft proposal evaluation, funds payment and assets transfer will be strictly implemented in accordance with the relevant laws and regulations such as the Measures for the Supervision and Administration of the Transactions of State-Owned Assets of Enterprises, and this Transaction shall be subject to the approval of the relevant government departments and/or the board of directors of CSA.

   本交易所涉及的飞机报价评估、款项支付、资产转让等具体工作流程将严格按照《企业国有资产交易监督管理办法》等相关法律法规的规定执行，且本交易须经政府相关部门和/或南航董事会的审批。

   Please note that any information disclosed to you by CSA concerning this Transaction shall be kept strictly confidential. Without the written consent of CSA, any information shall not be disclosed to any third party.

   请贵司注意，南航向贵司披露的任何涉及本交易的信息均应由贵司进行严格保密，未经南航书面同意不得对任何第三方披露。
